Kintyre snaps up OOH Media outdoor advertiser | Business

Kintyre Holdings (JA) Limited announced that it signed a binding agreement to acquire 100 per cent of OOH Media Services Limited, an outdoor advertising and branding business operating in Jamaica, while separately announcing a series of leadership changes at Visual Vibe designed to tighten governance ahead of a public offering.

OOH Media Services Limited was incorporated in January 2014 and operates digital screens, fabrication capability and physical billboards across Jamaica. Companies Office records show 1.9 million ordinary shares in issue, all held by Neil McIntyre, who serves as a director alongside Alicia Williams. The purchase price was not disclosed.

Kintyre’s chairman and chief executive Tyrone Wilson has previously described the acquisition as essential to the IPO plan, arguing it transforms Visual Vibe’s financial profile heading into a listing. “It’s critical to do the IPO because we’re doubling the profitability with that acquisition,” he said. His longer-term ambition is to fold OOH Media into Visual Vibe and “just expand that entire operation and go regional”.

The leadership overhaul

Alongside the acquisition announcement, Kintyre confirmed a restructuring of Visual Vibe’s leadership. Wilson stepped down as chairman of the subsidiary to concentrate on the parent company. Director of Tourism Donovan White was appointed in his place, and Tristan Williams was named commercial director. A new chief executive is expected to be appointed within three to six months.

Wilson previously held both the chair and chief executive roles at Visual Vibe simultaneously. The incoming structure is more orthodox in the separation of roles.

The listings roadmap

Wilson’s capital markets plan is already on the record. Speaking to the Financial Gleaner, he outlined plans to list Visual Vibe on the Jamaica Stock Exchange within roughly twelve months. This is separate from the holding company which plans to pursue a US listing depending on regulatory pace.

Talent as strategy

The OOH Media acquisition serves both listings simultaneously. It bulks up the operating footprint Visual Vibe can present to Jamaican investors – screens, fabrication, static inventory and established client relationships – while giving Kintyre a larger, more integrated platform to showcase to prospective US investors as part of a diversified group with real assets and tangible cash flows.
